A single-owner structure for professionals — full control and simple administration, but with personal liability you should understand before choosing it.

What it is

A sole establishment (sometimes called a sole proprietorship) is owned by one natural person who holds 100% of the business and its profits. It is commonly used by consultants, professionals and independent service providers.

The liability point people miss: a sole establishment is not a separate legal person in the way an LLC is. The owner is personally liable for the debts and obligations of the business, without limit. If the business owes money, the owner owes money. For low-risk professional services this is often acceptable; for anything carrying real contractual or credit exposure, an LLC is usually the more sensible structure.

Corporate Tax — read this carefully

Operating as a sole establishment does not exempt you from UAE Corporate Tax. Natural persons conducting business in the UAE must register once annual business turnover exceeds AED 1 million, and the penalty for late registration is AED 10,000. Many independent consultants assumed Corporate Tax was only a company matter and registered late as a result.
